Terms of Service

Languages. These Terms are published in English and Spanish; both versions are equally authoritative. Translations into other languages are provided for convenience and do not modify your legal rights or obligations. Mandatory consumer-protection law of your country of residence applies regardless of the language version.

These Terms of Service ("Terms") govern your use of Overfolder (https://www.overfolder.com, https://cloud.overfolder.com, and the @OverfolderBot Telegram bot — the "Service"), provided by Overspiral S.L. ("Overspiral", "we", "us").

By creating an account, messaging the bot, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Overfolder is a personal AI assistant that lives in Telegram (and, over time, in other messaging platforms and on the web at cloud.overfolder.com). It runs on a per-user Firecracker microVM with a persistent workspace, and it can optionally connect to third-party services you authorise — including Google Workspace, Google Docs, Google Drive, and Gmail — in order to read, summarise, and act on your behalf.

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into a binding contract. You agree to:

  • provide accurate registration information and keep it current;
  • keep your credentials (and the Telegram account linked to Overfolder) confidential and not share your account;
  • be responsible for everything that happens under your account, including actions taken by the Overfolder AI agent on your behalf.

4. Plans, pricing, and billing

Current plans and prices are listed at https://www.overfolder.com/#pricing. Unless stated otherwise:

  • The free plan is available without payment, subject to fair-use and capacity limits.
  • Paid subscriptions (when available) renew automatically for successive billing periods until cancelled.
  • You can cancel any time from your account; cancellation takes effect at the end of the current paid period.
  • Prices are exclusive of taxes. We collect VAT where required (EU consumers via the OSS scheme; EU business customers under reverse charge with a valid VAT ID; non-EU customers per applicable place-of-supply rules).
  • Payments are processed by Stripe; their terms apply to the payment transaction itself.

5. Consumer right of withdrawal (EU)

If you are an EU consumer (acting outside your trade, business, or profession), you have the right to withdraw from a paid plan within 14 days without giving any reason. However, by signing up to a paid plan and beginning to use the Service immediately, you expressly request that the Service be supplied during the withdrawal period and acknowledge that you will lose your right of withdrawal once the Service has been fully performed. For partial use during the withdrawal period we may charge a proportional amount.

6. Acceptable use

You may use Overfolder for any lawful personal or professional purpose.

You must not:

  • (a) Violate the terms or acceptable-use policy of any third-party service you connect through Overfolder (Telegram, Google, etc.). When you act through our platform, you also act through their terms, and we will enforce those terms with respect to your use of our infrastructure.
  • (b) Engage in conduct that could put Overfolder's IP addresses, domains, or sender reputation on a blacklist — including but not limited to mass unsolicited messaging through connected services, scraping in violation of robots policies, brute-forcing, port-scanning, or sustained abusive traffic toward third parties.
  • (c) Use the Service to transmit malware, phishing content, or material that is illegal under Spanish or EU law, or under the law of the jurisdiction the recipient is in.
  • (d) Attempt to disrupt the Service, circumvent the isolation of your microVM, evade rate limits, or access data that does not belong to you.
  • (e) Impersonate Overfolder, Overspiral, or a third party in your use of the Service, or mislead end users about who they are interacting with.

We will act pre-emptively to protect Overfolder's infrastructure, our IP reputation, and the safety of other users. We may rate-limit, suspend, or terminate accounts engaged in conduct under (a)–(e) without prior notice where the risk justifies it. We will notify you as soon as reasonably possible after any such action and explain the reason.

7. Your content and your delegations

You retain all rights to the data you bring to the Service (messages, voice notes, files uploaded to your workspace) and to the third-party accounts you connect. You grant Overspiral a limited, non-exclusive licence to host, process, and transmit that data solely to operate the Service for you — including running your AI assistant, executing the code and actions you request, and keeping an audit record.

Authorisations you grant to the Overfolder AI agent (including OAuth delegations to Google, etc.) are revocable at any time from your account.

8. Intellectual property

The Overfolder software, including its bot, web dashboard, and backend infrastructure, is proprietary to Overspiral S.L. The Overfolder and Overspiral names, logos, and brand assets are trademarks of Overspiral S.L. and are not licensed by these Terms — contact us for permitted use.

Any source code released under an open licence (if and when we publish components publicly) is governed by that licence; nothing in these Terms restricts rights granted to you there.

9. Service availability, beta features, "as is"

The Service is currently in private beta. We aim for high availability but do not commit to a formal SLA at this stage. Beta features may change or be removed with little notice. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind.

This does not exclude or limit warranties or rights that cannot be excluded under mandatory law applicable to you (in particular, statutory consumer-protection rights for EU consumers and any liability for fraud, gross negligence, or willful misconduct).

10. Limitation of liability

To the maximum extent permitted by applicable law, Overspiral's total aggregate liability arising out of or related to the Service in any 12-month period is limited to the fees you have actually paid us during that period (or, for free-plan users, one hundred euros — €100). We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility.

The above limitations do not apply to liability that cannot be limited under mandatory law (in particular for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or non-excludable consumer-law liability).

11. Suspension and termination

You may stop using the Service and close your account at any time from the web dashboard or by emailing us. We may suspend or terminate your access if you materially breach these Terms (including the Acceptable Use rules above), if required by law, or if your account poses a risk to the Service or to other users. On termination we will delete or return your data in accordance with the Privacy Policy and applicable law.

12. Changes to the Service or to these Terms

We may modify the Service and these Terms over time. Material changes will be notified to active users via the Telegram bot and/or email at least 14 days before taking effect. If you do not agree with the change you may close your account before it takes effect; continued use after the effective date constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by the laws of Spain, excluding its conflict-of-laws rules. Any dispute will be submitted to the courts of Madrid, Spain.

If you are a consumer habitually resident in the European Union, this clause does not deprive you of the protection of mandatory provisions of consumer-protection law of your country of residence, and you may also bring proceedings in the courts of your country of residence.

14. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific documents you accept, are the entire agreement between you and Overspiral about the Service.
  • Severability. If any provision is held unenforceable, the rest remains in force.
  • No waiver. A failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a corporate transaction.
